Microsoft, Yahoo! Change Search Landscape

Yahoo! and Microsoft announced an agreement that will improve the Web search experience for users and advertisers, and deliver sustained innovation to the industry. In simple terms, Microsoft will now power Yahoo! search while Yahoo! will become the exclusive worldwide relationship sales force for both companies' premium search advertisers.

For Web users and advertisers, this deal will accelerate the pace and breadth of innovation by combining both companies' complementary strengths and search platforms into a market competitor with the scale to fuel sustained development in search and search advertising. Users will find what they care about faster and with more personal relevance. Microsoft's competitive search platforms will lead to more value for advertisers, better results for Web publishers, and increased innovation and efficiency across the Internet.

Under this agreement, Yahoo! will focus on its core business of providing consumers with great experiences with the world's favorite online destinations and Web products.

"This agreement comes with boatloads of value for Yahoo!, our users, and the industry, and I believe it establishes the foundation for a new era of Internet innovation and development," said Yahoo! Chief Executive Officer Carol Bartz. "Users will continue to experience search as a vital part of their Yahoo! experiences and will enjoy increased innovation thanks to the scale and resources this deal provides. Advertisers will also benefit from scale and enjoy greater ease of use and efficiencies working with a single platform and sales team for premium advertisers. Finally, this deal will help us increase our investments in priority areas in winning audience properties, display advertising capabilities and mobile experiences."

Providing a viable alternative to advertisers, this deal will combine Yahoo! and Microsoft search marketplaces so that advertisers no longer have to rely on one company that dominates more than 70 percent of all search. With the addition of Yahoo!'s search volume, Microsoft will achieve the size and scale required to unleash competition and innovation in the market, for consumers as well as advertisers.

Microsoft Chief Executive Officer Steve Ballmer said the agreement will provide Microsoft's search engine, Bing, the scale necessary to more effectively compete, attracting more users and advertisers, which in turn will lead to more relevant ads and search results.

"Through this agreement with Yahoo!, we will create more innovation in search, better value for advertisers and real consumer choice in a market currently dominated by a single company," said Ballmer. "Success in search requires both innovation and scale. With our new Bing search platform, we've created breakthrough innovation and features. This agreement with Yahoo! will provide the scale we need to deliver even more rapid advances in relevancy and usefulness. Microsoft and Yahoo! know there's so much more that search could be. This agreement gives us the scale and resources to create the future of search."

"This deal fits the long-term strategic direction of Yahoo! to remain the world's leading online media company and Carol Bartz has the full and unanimous support of the Yahoo! Board behind this deal," said Roy Bostock, chairman, Yahoo! Inc. "This is a significant opportunity for us. Microsoft is an industry innovator in search and it is a great opportunity for us to focus our investments in other areas critical to our future."

The key terms of the agreement are as follows:

The term of the agreement is 10 years;

Microsoft will acquire an exclusive 10 year license to Yahoo!'s core search technologies, and Microsoft will have the ability to integrate Yahoo! search technologies into its existing Web search platforms;

Microsoft's Bing will be the exclusive algorithmic search and paid search platform for Yahoo! sites. Yahoo! will continue to use its technology and data in other areas of its business such as enhancing display advertising technology;

Yahoo! will become the exclusive worldwide relationship sales force for both companies' premium search advertisers. Self-serve advertising for both companies will be fulfilled by Microsoft's AdCenter platform, and prices for all search ads will continue to be set by AdCenter's automated auction process;

Each company will maintain its own separate display advertising business and sales force;

Yahoo! will innovate and "own" the user experience on Yahoo! properties, including the user experience for search, even though it will be powered by Microsoft technology;

Microsoft will compensate Yahoo! through a revenue sharing agreement on traffic generated on Yahoo!'s network of both owned and operated (O&O) and affiliate sites;

Microsoft will pay traffic acquisition costs (TAC) to Yahoo! at an initial rate of 88 percent of search revenue generated on Yahoo!'s O&O sites during the first five years of the agreement; and

Yahoo! will continue to syndicate its existing search affiliate partnerships.

Microsoft will guarantee Yahoo!'s O&O revenue per search (RPS) in each country for the first 18 months following initial implementation in that country;

At full implementation (expected to occur within 24 months following regulatory approval), Yahoo! estimates, based on current levels of revenue and current operating expenses, that this agreement will provide a benefit to annual GAAP operating income of approximately $500 million and capital expenditure savings of approximately $200 million. Yahoo! also estimates that this agreement will provide a benefit to annual operating cash flow of approximately $275 million; and

The agreement protects consumer privacy by limiting the data shared between the companies to the minimum necessary to operate and improve the combined search platform, and restricts the use of search data shared between the companies. The agreement maintains the industry-leading privacy practices that each company follows today.

The agreement does not cover each company's Web properties and products, email, instant messaging, display advertising, or any other aspect of the companies' businesses. In those areas, the companies will continue to compete vigorously.

The transaction will be subject to regulatory review. The agreement entered into today anticipates that the parties will enter into more detailed definitive agreements prior to closing. Microsoft and Yahoo! expect the agreement to be closely reviewed by the industry and government regulators, and welcome questions. The companies are hopeful that closing can occur in early 2010.

The companies have established a website at http://www.choicevalueinnovation.com to provide consumers, advertisers and publishers with additional information about the benefits of the agreement.

Conference Call - 5:30 a.m. PDT, Wednesday, July 29

Non-GAAP Financial Measures

This release refers to operating cash flow (operating income before depreciation, amortization of intangible assets, and stock-based compensation expense, or OCF), which is a non-GAAP financial measure. The most comparable GAAP measure is income from operations. The estimated annual OCF benefit of $275 million included in this press release is the estimated annual benefit in income from operations of $500 million less approximately $225 million of estimated annual savings in depreciation, amortization and stock-based compensation expense.

Yahoo! Adds Voice Search for iPhone; Extends Reach of Mobile Applications

As we continue our mobile search innovation and focus on providing the best experiences across a wide range of mobile platforms, Yahoo! today launched voice enabled oneSearch for the Yahoo! Mobile iPhone app. With the voice-enabled Yahoo! oneSearch, consumers can search for anything, including flight numbers, locations, Web site names, local restaurants, and more, by simply speaking.

In addition to using voice to conduct a search, the Yahoo! Mobile iPhone app enables consumers to customize the ‘My Interests' tab with the power of their voice. Simply click on ‘add anything', speak the topic you're interested in, then select the relevant content and add it to your page.

The Yahoo! oneSearch with voice application is currently available on more than 80 different devices and across platforms including Blackberry, Nokia, Windows Mobile and iPhone - with support in eight languages. New today, we also support for the latest BlackBerry devices (i.e. Bold, Storm, Flip and Javelin).

Whereas most mobile voice recognition systems are specific to vertical categories such as local listings, Yahoo! oneSearch with Voice lets consumers perform "wide open" searches - returning relevant results for practically every kind of query. The Yahoo! Mobile iPhone app can be downloaded through the iPhone app store here; compatible devices on other platforms can download the app by visiting http://m.yahoo.com/voice on their mobile browser.

Additionally, today, we're excited to announce that we rolled out the Yahoo! oneSearch shortcut for Windows Mobile in 21 countries, providing mobile users with one-click access to the search box. In February we announced the Yahoo! oneSearch shortcut for Windows Mobile in the U.S. and just like oneSearch applications for Nokia and Blackberry, we added an auto-locate feature on select devices to deliver local search results based on a combination of cell tower triangulation, GPS and Wi-Fi hotspots. The oneSearch shortcut can be downloaded on compatible devices by visiting http://m.yahoo.com/shortcut.

Carol Bartz Joins Yahoo! as Chief Executive Officer

Yahoo! Inc. (NASDAQ:YHOO), a leading global brand and one of the world's most trafficked Internet destinations, announced today that Carol Bartz, a veteran technology executive who was most recently Executive Chairman of Autodesk (NASDAQ: ADSK), has been named Chief Executive Officer and a member of the Board of Directors, effective immediately.

Prior to becoming Executive Chairman of Autodesk in 2006, Bartz, 60, led Autodesk as CEO for 14 years, transforming the company into a leader in computer-aided design software. During her tenure as CEO, revenues increased from less than $300 million to more than $1.5 billion, and the company's share price increased nearly ten-fold.

In addition to turning around Autodesk, Bartz's extensive executive experience includes hands-on responsibility for leading global operations, engineering, sales and marketing organizations for large technology and engineering companies including Sun Microsystems, Digital Equipment Corporation and 3M.

Roy Bostock, Chairman of the Board, said, "We are very excited to have Carol Bartz leading Yahoo! into its next era of growth. She is the exact combination of seasoned technology executive and savvy leader that the Board was looking for, and we are thrilled to have attracted such a world-class talent to Yahoo!. She is admired in the Valley as well as on Wall Street for her deep management expertise, strong customer orientation, excellent people skills, and firm understanding of the challenges facing our industry. Carol meets all of the criteria we set for the search and is the only person to whom we offered the job. The Board is united in its view that her energetic and decisive leadership style, coupled with a proven track record of driving growth, operational excellence and shareholder value, is exactly what Yahoo! needs to get back on a path toward achieving its full potential."

Bostock continued, "On behalf of the entire Board, I would like to thank Jerry Yang for acceding to our request 18 months ago to step into the CEO role. Jerry's unwavering enthusiasm for Yahoo!, his unique perspective on the company, and iconic stature in the industry make him an invaluable resource for the future. We are delighted that he plans to stay actively involved and are deeply grateful for his many contributions to the company's development over the years."

Carol Bartz said, "Yahoo! is a powerful global brand with a great collection of assets, strong technology, and enormously talented employees. The Company has accomplished a great deal in its relatively short history and I look forward to working together to take it to the next level. There is no denying that Yahoo! has faced enormous challenges over the last year, but I believe there is now an extraordinary opportunity to create value for our shareholders and new possibilities for our customers, partners and employees. We will seize that opportunity."

Jerry Yang said, "I couldn't be more pleased with the Board's choice of Carol Bartz as CEO and look forward to returning to my former role as Chief Yahoo. I believe Carol is the ideal person to take Yahoo! forward and I will be honored to be a resource to assist her in any way she finds helpful. I believe Yahoo!'s best years are still ahead of it. For the past 14 years, I have poured all of my energies into this great company -- and I hope to keep contributing to its success for many years to come."

Yahoo! also announced that President Sue Decker has informed the Board that she will resign after remaining with the Company for a transitional period. Bostock said, "The Board thanks Sue for her service as President, the important contributions she has made to Yahoo!'s development in a variety of roles over the past 8-1/2 years, and her willingness to work with Carol Bartz to ensure a smooth transition. We respect her decision to move on to other challenges and wish her only the best."

Carol Bartz has been the Lead Independent Director of Cisco Systems since 2005 and a director since 1996. She also currently serves on the Board of Directors of Intel Corporation and NetApp. She holds a bachelors degree in Computer Science from the University of Wisconsin.

Conference Call and Webcast Information

Yahoo! will host an analyst conference call to discuss today's announcement at 5:30 p.m. Eastern Time today.
Yahoo! oneSearch Named as the Exclusive Search Service on Virgin Media's Mobile Portal in the UK

Virgin Media and Yahoo! today announced that Yahoo! oneSearchTM will power the Internet search experience on Virgin Media's new, enhanced mobile portal. The Virgin Media mobile portal will be available to consumers on the 8th of December, and brings the world of news, music, video, games and entertainment, as well as Yahoo!'s award-winning mobile search experience, straight to consumers' pockets.

Yahoo! oneSearch is specifically designed for the needs of a mobile user, intuitively returning results directly in the first screen, removing the need for consumers to navigate through thousands of links to find the information they want.

* For instance, when a search for a football team is entered, Yahoo! oneSearch returns the latest scores, fixtures, team profiles, news, images and a link to the team's Web site.
* Alternatively, if a user searches for a film, Yahoo! returns showing times at local cinemas, reviews, news articles and information on the cast.

Yahoo! oneSearch will provide Virgin Media's mobile consumers with relevant information on virtually any topic -- from news, financial information, weather conditions, FlickrTM photos and lottery results, to Web and mobile web sites, travel information, integrated information from Wikipedia and Yahoo! Answers, and much more. Yahoo! oneSearch will also display relevant ringtones, wallpapers, games and other content within search results.

Yahoo! and Virgin Media plan to deliver mobile sponsored search results and contextually served sponsored listings within the Virgin Media mobile portal early 2009. With a focus on creating the monetization engine for the mobile Internet, Yahoo! is enabling advertisers to reach their target audiences at large scale and with impact. Yahoo! is delivering a compelling consumer service via Yahoo! oneSearch that will help marketers connect with mobile consumers.

Commenting on the partnership, Graeme Oxby, managing director of Virgin Mobile said: "Our new Virgin Media mobile portal brings the web to consumers' pockets. A great mobile search service is a crucial part of this and by integrating Yahoo! oneSearch into the portal, we are ensuring our customers have all the information they need at their fingertips. Whether you're checking the Saturday football scores or your favourite web services, you're guaranteed to find what you need with ease."

"Working closely with our 70 mobile operator partners, Yahoo! oneSearch is a starting point for mobile consumers globally, revolutionizing the mobile search experience by delivering relevant answers to queries that mobile users have while on-the-go," said Mitch Lazar, managing director of Connected Life Europe, Yahoo!. "Together, Virgin Media and Yahoo! are enhancing the user's mobile Internet experience in the UK while creating unique opportunities for advertisers to reach a highly-engaged audience of mobile consumers."

Today, T-Mobile USA Inc. is introducing web2goSM, an intuitive and improved Web browsing experience designed to work across T-Mobile's portfolio of phones. Web2go makes it easier to view and navigate the Web from basic voice phones and smartphones alike, providing customers with better Web browsing, improved search with Yahoo! oneSearchTM, a customizable home page and a simplified shopping and download experience.

"We believe mobile Web access appeals to everyone, and web2go makes it easier than ever before for customers to surf the Web from our broad line-up of phones," said Denny Marie Post, chief marketing officer, T-Mobile USA. "In addition to giving our customers the mobile Web, web2go provides a store front that will continue to grow with our customers, offering a range of products from the latest content to new innovative applications."

With web2go customers can create a personalized home page for easy, one click access to their favorite websites. The new service allows customers to visit virtually the entire Internet from their mobile phone, ensuring web pages are easy to view and navigate. With access to the web2go marketplace included at no additional charge for customers with capable devices, customers can also browse and purchase the latest ringtones, games, wallpaper and mobile optimized applications and services to customize their phone. Further, a My Downloads feature enables certain applications, games and content that customers purchase to continue to be available to them when they upgrade to new phones.

Yahoo! oneSearch TM powers mobile Internet searches made through T-Mobile web2go, available starting today on millions of T-Mobile® phones. Providing customers with access to the latest news, information and content -from FlickrTM photos and Web images to their favorite social network sites -

Yahoo! oneSearch intuitively returns search results grouped around the person's inquiry. For instance, when customers search for a sports team, Yahoo! returns the latest scores, schedules, team profiles, roster, news, images and a link to the team's Web site. Alternatively, if a user searches for a movie, Yahoo! returns show times at local theatres, reviews, news articles and information on the cast. Consumers no longer need to surf through a sea of links to find the information they want while on-the-go.

Yahoo! oneSearch will also display relevant ringtones, wallpaper, games and other content available in the T-Mobile store within search results, eliminating the need for customers to search within a separate window for downloadable content.

Web2go is available today across the majority of new T-Mobile phones including most Motorola, Nokia, Samsung, Sony Ericsson and BlackBerry handsets. This enhancement is automatic for T-Mobile customers with compatible phones. T-Mobile plans to make web2go available on nearly all new T-Mobile phones over the coming months.

New Unlimited Data Access Plans

In line with the launch of web2go, T-Mobile also announced today several new bundled data plans, further simplifying the experience for customers. The new pricing structure, with bundle options for Web, e-mail and messaging across all compatible phones and devices, presents a tremendous value for individual and family customers alike.
