NTT Com to acquire German security specialist for €75m

NTT Communications Corporation has launched a EURO 75 million takeover offer for global IT security services provider Integralis.

NTT Com issued a voluntary public takeover offer for all outstanding shares of German headquartered Integralis, at Euro 6.75 in cash per share. The offer represents a 70%  percent premium over the three-month average closing share price on the Frankfurt Stock Exchange (Xetra).

If the offer is successful, Integralis will become a subsidiary of NTT Com with the existing management board of Integralis continuing to run the business.

The acquisition will allow NTT Com to utilize Integralis worldwide network of security operation centers, which provide a 24 hour service for multinational companies.
 
NTT Com senior executive VP Akira Arima, said “the unique expertise in the area of enterprise security services will be extremely valuable for many of our customers. We intend to support Integralis and its workforce on its growth path.”

NTT has a recent history of acquisitions in the German market, in  early 2008, NTT Data, sister company of NTT Com, acquired a majority stake in German SAP specialist intelligence. It also acquired a major stake in Cirquent, the former IT consulting unit of BMW, late that year .
